1. EXHIBITION SPACE AND SUPPLIED SERVICES
1.1. The exhibition space, the stand, is offered to the Exhibitor for the period of mounting, development and dismantling of the exhibition.
1.2. The exhibition space, the stand, includes: the back and lateral walls of the requested stand, a table, two chairs, paper basket, hanger, carpet, two illuminating spots, one plug (220 W).
1.3. Services offered by the Organizer, afferent to the exhibition space, included in the stand cost: stand mounting and dismounting, daily cleaning inside and outside the stand, internet connection, technical assistance, medical first aid assistance, exhibition general security, exhibition general guard since the beginning of mounting until the dismounting, insuring the public order during the exhibition visiting hours (except the individual guard of the exhibits), access to the exhibition space on the dates and hours agreed, three tags for the exhibitor’s personnel, promotion by advertising programs in order to attract attention on Naval Defense Exhibition 2009.
1.4. Additional services, offered by the Organizer for a fee, on the Exhibitor’s request:
- advertising in the Naval Defense Exhibition 2009 catalogue according to appendix no. 1;
- accommodation services, in 3-4 stars hotels, according to appendix no. 2;
- optional trips according to appendix no. 3;
- outdoor space.
2. PAYMENT TERMS AND CONDITIONS
2.1. The payment will be performed in lei/dollars/euro, in the Organizer’s accounts, for:
- lei account no. RO23 BSEA 0400 0000 L300 1637 opened at Emporiki Bank - Romania
- dollars account no. RO06 BSEA 0401 0000 L300 1637 opened at Emporiki Bank - Romania
- euro account no. RO64 BSEA 0409 0000 L300 1637 opened at Emporiki Bank - Romania
Thus: 50% of the value within 14 days since the signing of the Contract Adhesion the rest of 50% of the value until the date of July 30th 2009. For the cashed amounts the Organizer will issue a fiscal invoice, within maximum 3 days since the cashing.
2.2. In case the Contract Adhesion is signed in less than 30 days before the opening of the exhibition the payment will be performed in full (100%) within 48 hours since the signing of the Contract Adhesion.
2.3. The payment of the additional services requested by the Exhibitor will be performed in the moment of the request, cash or by bank transfer.
2.4. In the case of integral non-payment of the counter-value of the Contract Adhesion, the Organizer reserves the right to cancel the contract and dispose of the exhibition space.
2.5. The Organizer is entitled to retain as guarantee the products exhibited until the Exhibitor fulfills his due obligations.
3. WITHDRAWAL AND NON-PARTICIPATION
3.1. In case the Exhibitor opts for the withdrawal of the participation from Naval Defense Exhibition 2009 before the performance of any payment the Contract Adhesion will be rightfully terminated.
3.2. In case the Exhibitor opts for the withdrawal of the participation from the Naval Defense Exhibition 2009 after paying 50% of the Contract Adhesion, the Organizer will retain this amount (based on the issued invoice) and the contract will be rightfully terminated.
3.3. In case the Exhibitor opts for the withdrawal of the participation from the Naval Defense Exhibition 2009 after the integral payment of the counter-value of the Contract Adhesion, the Organizer will reimburse 25% of the cashed amount, retaining 75% of it and the contract will be rightfully terminated.
4. THE EXHIBITOR’S ELIGIBILITY
4.1. The Organizer is the only one who can decide the eligibility of the participants and of the exhibited products.
5. THE EXHIBITS
5.1. Within the exhibition, the merchandise, products and services in the event’s profile are accepted.
5.2. The Organizer reserves the right to not admit the exhibits that may be damaging or dangerous (such as, but not limited to, inflammable products, explosive products, products producing a load noise or harmful substances, exhibits containing explicit pornographic materials, products considered illegal in Romania, etc.).
5.3. The commercialization of the exhibits can only be made with the previous written agreement of the Organizer.
6. EXHIBIT FUNCTIONING
6.1. During the development of the event, the Exhibitor is obliged to designate his representative with the right to receive official documents.
6.2. During the visiting hours of the exhibition the Exhibitor’s representatives are obliged to be permanently in the perimeter of his stand.
6.3. Demonstrations with exhibits or any other type of Exhibitor activity which may lead to blocking the passages, creating incommodities for other exhibitors, producing certain bodily harms to other exhibitors or visitors are not allowed. The demonstrations with exhibits are allowed only in the specially arranged spaces and only with the previous agreement of the organizer.
6.4. The Exhibitor will act and organize the stand functioning or so that it does not bother other exhibitors or visitors.
6.5. The stand will be taken over by the exhibitor 2 days/hours before the official opening of the exhibition.
6.6. All exhibits must be exhibited in the stand on the time of the official opening of the exhibition.
6.7. The Exhibitor will be informed in writing (by registered letter, fax, e-mail) regarding the preparation measures and other aspects regarding the mounting of the exhibition.
6.8. The Exhibitor is the sole liable for the consequences arising from the non-observance of the installation conditions.
6.9. The Organizer reserves the right to postpone, move, extend or cancel the organization of the exhibition in case of an unpredictable event (for example, war, natural calamities, epidemics/pandemics, etc.) on the conclusion of the contract; in which case the organizer will not be liable for the losses or any disadvantages suffered by the exhibitors.
7. RESPONSIBILITIES
7.1. The Exhibitor is the sole responsible for insuring the exhibits against all risks during their transport.
7.2. During the visiting hours of the exhibition the Exhibitor is liable for the integrity of the exhibits and of the stand; the Exhibitor undertakes to use the stand and afferent endowments as a good owner, avoiding their loss, destruction or deterioration.
7.3. The Exhibitor is responsible for the damages caused to third parties, including the damages cause by the edifice in which the exhibition is held and agrees to pay all compensations produced by his fault or his representatives’ fault.
7.4. The Organizer is not responsible for the bodily harm of the exhibitor’s representatives, the loss or deterioration of the exhibits, organizer’s inventory, other goods.
7.5. The Organizer is not responsible for the damages or losses resulting from major force events, as it is defined by the Romanian legislation.
8. APPROVALS, LICENSES
8.1. The Organizer does not undertake the responsibility to insure any kind of approval, necessary to the exhibitor, exhibits, exhibitor’s representatives, in order to enter Romania, obtain visas, the availability of airlines or other traveling options, obtaining licenses, concluding contract by the exhibitor, customs fees, import fees, transport fees, the exhibitor’s incapacity to obtain approval for any of the above services, including interdiction of travel, terrorist activities, epidemics/pandemics, will not be a good reason to waive the participation to the event.
9. NOTIFICATIONS
9.1. Any notification and any permit, agreement, approval or other authorization that must be supplied, given or communicated by one of the parties to the other will be drawn up as a written document and will be sent to the address mentioned in the adhesion by registered mail, fax, e-mail.
10. FINAL DISPOSITIONS
10.1. On signing the Contract Adhesion the exhibitor agrees with the Participation Terms and Conditions for Naval Defense Exhibition 2009.
10.2. This contract is governed by the Romanian legislation.
10.3. The eventual disputes regarding the interpretation and development of this contract will be solved amiably as much as possible, and if this is not possible, the dispute will be submitted for solving to the competent Romanian court of law.
